Governing Law This field allows you to search the law that governs the deal.

Every security issue is governed by the laws of a country or state. You must be aware of the laws that will apply if a dispute arises about the deal. We also record the law that governs a guarantee, a “keep well,” or secured assets if they are used on the deal and are different from the main governing law.

Governing law on depositary receipts
Depositary receipts are securities backed by other securities (bonds or shares). Depositary receipts are often issued in the USA by non-USA Issuers to avoid cumbersome rules and regulations that would apply to the bonds or shares if they had been issued directly to U.S. investors.
This result in Depositary Receipts often having two Governing Laws: one for the Depositary Receipt and one for the underlying security (the bond or share). Please record both these Governing Laws, if different from each other.

Language of Prospectus’s Terms & Conditions This field allows you to search the language of the prospectus’s terms and conditions.

Legally Binding Language This field allows you to search the legally binding language of the prospectus’s terms and conditions. A legally binding language is the language that is binding in case of a difference of opinion. It can only apply to documents in which more than one language is being used.

Listing This field allows you to search the exchange, city, and country where the deal is listed.
Click the Lookup button to view all the exchanges you can choose from. Here you can also select a listing option:
  • Delisted means listing is withdrawn.
  • None means there is no mention of any listing in the document.
  • Unlisted means the document mentions there is no listing.
Click the Taxonomy button to view the Listing taxonomy which allows you to select by exchange, city, or country of listing.

Prospectus Approved By This field allows you to search the regulator that approved the prospectus.
Prospectus Compliance This field allows you to search deals that are compliant with the EU prospectus directive.
