This page provides a glossary for the Banks and Lawyer Fields.

Banks in Any Capacity This field allows you to search on a bank acting in any of the four capacities of Lead Manager, Co-Manager, EMTN Arranger, and EMTN Dealer.

Co-Manager This field allows you to search the co-manager(s) of the issue. The co-manager is the bank that co-underwrites the deal with the lead-manager(s) and the other co-manager(s), if any. They underwrite a smaller amount than the lead manager. There are usually more co-managers than lead managers on a deal.

Programmes do not have co managers. The banks that help distribute securities on a programme are called dealers. We offer a separate field for dealers.

In pricing supplements, the co manager is found from the list of banks that are either called:
  • dealers
  • managers
  • co-managers
  • underwriters
  • brokers

EMTN Arranger
This field allows you to search the EMTN arranger(s) of the programme. The bank(s) that arranged the programme is called an arranger. Arrangers normally only appear in programmes and pricing supplements that are issued under a programme.

EMTN Dealer

This field allows you to search the EMTN sealer(s) of the programme. A dealer is a bank invited by the Issuer to help sell securities that the issuer will issue under a programme.
On a pricing supplement, the dealer may appear as:

  • stabilising manager
  • underwriter
  • bank that can decide on over allotments

Law Firm in Any Capacity  This field allows you to search a law firm or lawyer acting as lawyer to Issuer or lawyer to syndicate.

Lawyer to the Issuer This field allows you to search the lawyer to the issuer. A lawyer to the issuer advises the issuer on the legal aspects of the securities it is about to issue.

Lawyer to the Syndicate This field allows you to search the lawyer to the syndicate. A lawyer to the syndicate advises the lead manager(s), co-manager(s) arranger(s), and dealer(s) on the legal aspects of the securities that are about to be issued.

Lead Manager This field allows you to search the lead manager(s) of the issue. The lead manager is the lead bank that received the mandate from the issuer to put the deal together. This is always mentioned first, at either the top left or top center on the cover page or in the bank table of a pricing supplement. There can be more than one lead manager on a deal.

Programmes do not have lead managers. The banks that lead a programme are called arrangers. We offer a separate field for arrangers.

In pricing supplements, the lead manager is often called:
  • stabilising manager
  • underwriter
  • bank responsible for the allotments of the bonds
  • broker or dealer
  • co-lead managers
  • market maker
In equity deals, the lead manager is often called:
  • sponsor
  • global co-ordinator
  • placing agent
When any of these names are used and it is clear that the bank is in a lead role, we record them into the Lead Manager field.
